A compliance business may combine advice, managed delivery, subscriptions and software. Prepare by describing those activities separately, rather than assigning one label to every customer relationship. This guide is an editorial organizing exercise. It does not certify a control environment, confirm regulatory compliance or value the business.

Map what each revenue stream actually includes

For each service or product line, describe the promised deliverable, billing arrangement and delivery role. Separate recurring access to software from recurring human work, and note when an engagement combines both. Reconcile the categories to the accounting records with your accountant.

Collect contract versions and identify the clauses that need review: scope, renewal, service levels, data access, assignment and change of control. Do not assume a subscription label means an agreement is transferable or that the work can be delivered without the current owner.

Make intellectual-property and delivery dependencies explicit

Inventory the code, templates, methods and training material used to deliver the work. Keep a private note of ownership evidence and any third-party license restrictions for counsel to examine. Avoid uploading source code, confidential client reports or security findings to a public preparation tool.

Map delivery responsibility by role, including quality review, client escalation and specialist qualifications. If a founder is the only person able to sign off a particular deliverable, record that dependency and identify what a transition plan would need to address.

Keep evidence, marketing and transaction review distinct

For cybersecurity-related work, NIST’s CSF Profiles offer a way to describe outcomes in a defined context. A profile is not evidence that this business or its customers have been certified. Describe the specific framework, scope and date when referencing assessment material.

Use the SBA’s sale guidance to frame the broader professional discussion about the proposed agreement. Take the service map, evidence inventory and unresolved contract questions to your advisor. A clear file supports the conversation without promising a compliance result, customer retention or a particular transaction outcome.
